Affiliate Programme Terms

1. About these terms
1.1. These Affiliate Programme Terms (“Affiliate Terms”) apply to anyone who registers as an affiliate of AOIT Networks Ltd (“we”, “us”, “our”) through our affiliate programme (“Affiliate”, “you”, “your”). They sit alongside, and form part of, our Terms and Conditions, in particular clause 1.3 (governing law and jurisdiction), clause 20 (notices and communications) and clause 21 (general provisions), which apply to these Affiliate Terms as if set out in full. If there is a conflict between these Affiliate Terms and our Terms and Conditions on a matter specific to the affiliate programme, these Affiliate Terms prevail.
1.2. Becoming an Affiliate does not make you a customer under a separate contract for that purpose alone; if you are also a customer of our Services, your customer account and Services continue to be governed by our Terms and Conditions.
1.3. We reserve the right to change these Affiliate Terms, to close or withdraw the affiliate programme entirely, or to close or suspend your individual affiliate account, at any time. Clauses 8 and 10 set out how each of those is handled in practice.
2. Eligibility
2.1. To register as an Affiliate you must be at least 18 years old and legally capable of entering into a binding agreement, in the same way as clause 2.1 of our Terms and Conditions requires for ordering Services.
2.2. We may decline, suspend or close an affiliate registration at our reasonable discretion, including where we are unable to verify the information you provide.
3. Your affiliate link and tracking
3.1. On registering, you are given a unique affiliate link. A visitor who reaches our website through your link is tracked using a cookie valid for 1 month. If that visitor completes a qualifying signup within that 1-month window, the resulting order is treated as your referral, whether or not they complete a purchase immediately on their first visit.
3.2. If a visitor clicks more than one affiliate’s link before signing up, we apply our standard, reasonable rule for attributing the referral (for example, the most recent qualifying click), and our decision on attribution is final.
4. Commission
4.1. You earn commission on the order value of Services purchased by your referrals, at the percentage rate shown in your affiliate area at the time the commission is calculated. This is a recurring commission: for as long as your referred customer keeps an active account with us, you continue to earn commission each time they renew, at the rate then in force.
4.2. Domain name registrations, renewals and transfers do not earn commission. Domains are provided to customers at cost and are excluded from the order value used to calculate your commission.
4.3. Commission on a qualifying order becomes available in your account once the referred account has held an active order continuously for the number of days shown in your affiliate area at the time of referral (“the maturation period”). Commission that has not yet completed the maturation period is shown as pending and is not available for withdrawal.
5. Payout
5.1. Once your available balance reaches the minimum amount shown in your affiliate area (currently £30), you may request a payout at any time using the withdrawal option in your affiliate area. This opens a support ticket so we can arrange payment.
5.2. If your available balance reaches £200 and you have not yet requested a payout under clause 5.1, we will open a support ticket ourselves to ask you to confirm your preferred payout method (credit to your AOIT Cloud account, or bank transfer) and to provide any payment details we need to complete it.
5.3. Where we open a ticket under clause 5.2, if we do not receive a response we will follow up on it at 30 days, 60 days and 80 days after it was opened. If you have not confirmed a payout method and, where applicable, provided the necessary payment details within 90 days of that ticket being opened, we will convert your available balance at that time to credit on your AOIT Cloud account. Credit applied in this way cannot currently be exchanged for cash.
5.4. Any commission you earn is your own responsibility to declare to HMRC or any other relevant tax authority. We do not withhold tax from commission payments and do not report your affiliate earnings on your behalf.
5.5. Separately from the payout process above, we send affiliates a monthly update by email on the 1st of each month showing your current stats and balance. This is informational only and does not itself trigger a payout.
6. Cancellations and refunds
6.1. If a referred customer cancels their service and it is not renewed, no further commission is earned on that service from that point, since there is no longer a renewal to earn commission on. This does not affect commission you have already earned on that service before cancellation.
6.2. If a referred order is refunded, whether before or after the related commission has matured under clause 4.3, the commission relating to that order will be reversed and deducted from your balance, including from future commission if your balance is insufficient to cover the reversal at the time.
7. Fair use
7.1. A client cannot use their own affiliate link to earn commission from their own purchases. If a client makes a purchase using their own affiliate link, they will not earn commission on that purchase.
7.2. We reserve the right to withhold or reverse commission, and to suspend or close an affiliate account, where we reasonably believe fraudulent or abusive activity has taken place in connection with the affiliate programme, including artificially generating clicks or signups, or otherwise circumventing the intent of these Affiliate Terms.
7.3. When promoting your affiliate link, you must not use methods that would breach our Acceptable Use Policy or Website Terms of Use, and you must not send unsolicited bulk email (spam) or make misleading claims about our Services.
8. Account closure and termination
8.1. You may stop participating in the affiliate programme at any time by telling us.
8.2. We may end your participation in the affiliate programme, or the programme itself, at any time. Where we do so without cause, we will give you reasonable notice where practical; where clause 7.2 applies, or where your customer account is terminated for a serious breach under clause 12.5 of our Terms and Conditions, we may end your participation immediately.
8.3. If your affiliate account or your AOIT Cloud customer account is closed or suspended for any reason, any commission that has not completed the maturation period in clause 4.3 at that time is forfeited. Commission that has already matured into your available balance will still be paid out under clause 5.
9. No employment, agency or partnership
9.1. Participating in the affiliate programme does not make you our employee, agent, partner or joint venturer, and you have no authority to act, or hold yourself out as acting, on our behalf. We do not guarantee any minimum number of referrals, conversions or level of earnings from the affiliate programme.
10. Changes to these terms
10.1. We may update these Affiliate Terms, the commission rate, the maturation period, the payout process in clause 5, or the affiliate programme generally, from time to time. Changes take effect once notified to you by email or via your affiliate area, and are not applied retrospectively to commission that has already matured before the change takes effect. The figures shown in your affiliate area always reflect what currently applies.
11. Governing law and complaints
11.1. These Affiliate Terms are governed by the laws of England and Wales on the same basis as clause 1.3 of our Terms and Conditions. If you have a complaint about the affiliate programme, contact us in the same way as set out in clause 23 of our Terms and Conditions.
